Terms of Service
Effective September 10, 2026
These Terms of Service (“Terms”) govern your use of dorio.ai and the Dorio application (the “Service”) provided by Dorio (“Dorio,” “we,” “us”). By joining the waitlist, creating an account, or using the Service, you agree to these Terms on behalf of yourself and the firm you represent.
Eligibility and accounts
The Service is for investment professionals and firms. You must be at least 18 and authorized to act for your firm. You are responsible for your credentials and for activity under your account. Workspaces are keyed to a firm’s email domain; anyone who joins with a verified email at that domain may access the firm’s workspace.
Your content
You retain all rights to the data you provide — portfolio records, valuations you set, notes, uploads, and connected-service data (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you and your firm. You represent that you have the rights needed to provide Your Content.
Model outputs are not advice
The Service generates modeled valuations, predictions, scores, summaries, and briefs using statistical models, third-party data, and AI systems. These outputs are estimates and directional signals, not guarantees, audited valuations, or investment, legal, tax, or accounting advice. You are solely responsible for investment decisions and for any valuations you report to others. Third-party data may be incomplete or inaccurate.
Acceptable use
- Do not resell, scrape, or bulk-export third-party data from the Service, or use it to build a competing dataset.
- Do not attempt to access another firm’s workspace, probe our systems, or circumvent access controls or rate limits.
- Do not upload content you lack rights to, or content that is unlawful or infringing.
Third-party services
Connecting services such as Carta is optional and subject to those services’ terms. We access connected accounts only to sync data you have authorized.
Fees
Access during any preview or waitlist period is provided at our discretion and may be limited or withdrawn. Paid plans, if offered, will be governed by the pricing and billing terms presented at purchase.
Intellectual property
The Service, including its software, models, indexes, and design, is owned by Dorio and its licensors and protected by intellectual-property laws. These Terms grant no rights except the limited right to use the Service as provided.
Confidentiality
Your workspace data is treated as your firm’s confidential information and is not shared with other customers. See our Privacy Policy for details on how information is handled.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DORIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING.
Termination
You may stop using the Service at any time and may delete your workspace data from Settings. We may suspend or terminate access for violation of these Terms or to protect the Service. Sections that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
Changes
We may update these Terms. We will post the new version here and update the effective date; continued use after changes take effect means you accept them.
